Welcome to the Sara Kabariti Ltd (the “Owner”) Affiliate Programme (the “Programme”) designed to allow individuals and companies (the “Affiliates”) to earn commissions by promoting and selling online classes in offered by the Owner (the “Programme”).
These terms and conditions (the “Terms and Conditions”) govern Affiliates’ participation in the Programme. For the avoidance of doubt, we reserve the right to amend or terminate the Programme at any time, for any reason. Wherever used in these Terms and Conditions, “we” and “our” refers to the Owner, and “you” and “your” refers to the respective Affiliates.
1. Agreement. Upon the date on which the Affiliates sing up for the Programme, the Affiliates agree that they shall automatically be bound by these Terms and Conditions.
2. Undertaking. The Affiliates warrant, represent and undertake that (i) in the event of a natural person, they are over the age of 18, or in the event of a legal person, a is a company validly existing under the laws applicable to it with full power and authority to conduct its business as currently conducted; (ii) they have the power and authority to enter into and perform these Terms and Conditions and the other documents referred to herein (if any); (iii) they will use the Programme in the manner stipulated in these Terms and Conditions; and (iv) their participation in the Programme is not prohibited by virtue of any laws or regulations applicable to them.
2. Enrollment. To enroll in the Programme, you will need to submit an application through the ThriveCart website [
https://thrivecart.com/]. We reserve the right to approve or deny any application in our sole discretion.
3. Commissions. As an Affiliate, you will earn a commission in the form and value determined by the Owner for each verified qualified referral generated by the Affiliate through their unique affiliate link or referral code. The Owner reserves the right to amend the commission value at any time, for any reason. Commissions will be paid on a monthly basis, via Paypal.
4. Promotion. As an Affiliate, you may promote the Programme through any preferred lawful and ethical means. However, it is prohibited to use spamming and/or any other illegal or unethical means to promote the Programme.
5. Indemnity. Affiliate will defend, indemnify and hold harmless the Owner, its affiliates, directors, officers and employees against all liabilities, damages, losses, costs, fees (including legal fees), and expenses relating to any allegation or third-party legal proceeding (as the case may be) to the extent arising out of: (a) Affiliate’s participation in the Programme; and/or (b) Affiliates’s breach of any undertaking, representation and/or warranty under these Terms and Conditions.
6. Reservation of Rights. We reserve the right to terminate any Affiliate's participation in the Programme and/or the methods through which rewards are earned at any time, for any reason, and without notice.
7. Intellectual Property. All intellectual property rights associated with the Programme shall be vested with the Owner and the Affiliate shall not have any rights thereto. For the avoidance of doubt, enrollment by the Affiliate in the Programme does not continue a license, franchise or business opportunity in any way other than as stipulated under these Terms and Conditions.
8. Parties’ Relationship. Nothing contained in these Terms and Conditions shall be construed to imply an employment, joint venture or principal and agent relationship between the Owner and the Affiliate(s) and neither party shall have any right, power or authority to create any obligations, express or implied, on behalf of the other.
9. Termination. Either party may terminate these Terms and Conditions immediately with or without cause upon written notice to the other party (email notice permitted). Upon any termination or expiration of these Terms and Conditions, all licenses and rights granted hereunder will terminate. For the avoidance of doubt, the Owner will pay the Affiliate(s) any unpaid commissions for the period preceding termination (if any).
9. Governing Law. These Terms and Conditions, and any non-contractual obligations arising out of or in connection with these Terms and Conditions, shall be governed under the laws of England and Wales. Any dispute arising out of or in connection with these Terms and Conditions, including any questions regarding its existence, validity or termination shall be referred to and finally resolved by the competent courts of England and Wales.
